l Attending to conduct a Due Diligence and assist in the completion of the Due Diligence Report in respect of client companies and/or subsidiaries undertaking Project Finance and/or Structured Finance Transaction as well as advising client of risks and implication thereof.;

l Attending to research on local as well as international Commercial and Competition Law applicability in respect of a proposed / clients instructed Transactions;
l Research on the filing and obtaining Competition Commission approval for an intermediate merger;
l Drafting various commercial contracts for various M& A, Project Finance, Structured Finance as well as Franchising Transactions;
l Drafting and reviewing various finance and security (preference share subscription, guarantor cession agreements, limited guarantee) agreements for various M&A Transactions;
l Drafting, negotiating, reviewing , analysis , advising and amending FIDIC (Red, Yellow, Silver & Gold) Conditions of Contract for Construction, NEC3, Procurement and Bespoke contracts;
l Drafting and filing incorporation documents (MOI in view of merger - creating and authorization of preference shares) for a Client companies;
l Research on various funding structures to capitalize client's share capital;
Attending to conversion of par value to no par value shares and drafting the director's report to be filed with SARS, attending to amendments to the share capital structure in the Company;
l Attending to draft Notice of meetings in compliance with the Companies Act, setting out the proposed resolutions and explanatory notes thereto;
l Attending to draft the Shareholder's Agreement and letter proposing the issuing of a rights issue to the client Company's shareholders;
l Attending to BEEE Act to ensure empowerment provisions and percentages are upheld despite the rights issue (no dilution of BEE shareholders).
